1Purpose

These Terms and Conditions ("Terms") govern access to and use of the Baobab Pass mobile application (the "App") and related services provided by Baobab Pass.

By creating an account or using the App, you agree to be bound by these Terms without reservation.

2Description of the Service

Baobab Pass is a digital ticketing platform that enables:

• The purchase of tickets for events
• The sale of tickets by event organizers
• The digital management and validation of tickets
• Access to events via QR code or barcode

Baobab Pass acts as a technical intermediary between event organizers and participants.

3Account Registration

To access certain features, users must create an account and provide accurate, complete, and up-to-date information.

Users are responsible for:

• Maintaining the confidentiality of their login credentials
• All activities conducted under their account

Baobab Pass reserves the right to suspend or terminate any account that violates these Terms.

4Ticket Purchases

4.1 Purchase Process

• A ticket purchase becomes final once payment has been successfully confirmed.
• A digital ticket will be generated and made available within the App.

4.2 Pricing

• Ticket prices are determined by the event organizers.
• Baobab Pass may charge service fees, which will be clearly displayed before payment confirmation.

4.3 Refunds

• In the event of an event cancellation, the ticket shall be fully refunded by the event organizer.
• Except in cases of cancellation, all refund conditions and policies (including cases of postponement, rescheduling, modification, or any other change to the event) are determined solely by the event organizer.
• Baobab Pass acts only as a technical intermediary platform and shall not be held responsible for refund decisions made by event organizers, subject to applicable laws and regulations.

5User Obligations

Users agree to:

• Not use the App for fraudulent or unlawful purposes
• Not reproduce, duplicate, resell, or falsify tickets
• Not interfere with or disrupt the operation of the platform
• Comply with the rules and conditions of each event

Any fraudulent activity may result in account suspension and legal action.

6Organizer Obligations

Event organizers agree to:

• Provide accurate and truthful information about their events
• Comply with applicable laws and regulations
• Ensure proper organization and execution of their events
• Manage refunds in accordance with their stated policies

Baobab Pass is not responsible for the content, organization, or execution of events.

7Limitation of Liability

Baobab Pass acts solely as a technical intermediary platform.

Baobab Pass shall not be held liable for:

• The cancellation, postponement, or modification of an event
• The quality, safety, or execution of any event
• Any indirect, incidental, or consequential damages related to an event

To the fullest extent permitted by law, Baobab Pass's liability shall be limited to the amount of service fees collected for the specific transaction giving rise to the claim.

8Intellectual Property

All content available on the App, including but not limited to logos, trademarks, text, graphics, software, and design elements, is the exclusive property of Baobab Pass or its partners.

Any unauthorized reproduction, distribution, or use is strictly prohibited.

9Suspension or Termination

Baobab Pass reserves the right to:

• Suspend or terminate any user account
• Refuse access to the App
• Remove content that violates these Terms

At its sole discretion and without prior notice in cases of violation.

10Data Protection

The collection and processing of personal data are governed by our Privacy Policy.

11Modifications to the Terms

Baobab Pass reserves the right to modify these Terms at any time.

Users will be notified of significant changes through:

• In-app notifications
• Email
• Updated Effective Date

Continued use of the App after such modifications constitutes acceptance of the revised Terms.

12Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Senegal.

In the event of a dispute, the parties agree to seek an amicable resolution prior to initiating legal proceedings.

If no amicable resolution is reached, the courts of Dakar, Senegal shall have exclusive jurisdiction.
